They claim USSE has made untrue statements between Oct. 2006 to Jan. 2007, they claim this happened by way of teleconference, and 11 separate press releases.

I will now break down each press release with what I feel could be a good defense?

They cannot convict on PR's of future plans just because the plans never worked out.

Defendent acted with intent to deceive, manipulate or defraud.....
I find that charge flexable, if he had intent to do what the PR stated how can he be guilty? He may have stated future goals and plans as definite actions, but thats all I see wrong? In my opinion he always worked to make USSE a better company with growth and contracts.

I feel some statements he made can be proven as facts and the rest can be proven as future goals and plans, but I am not a lawyer.

#35. Substantial portion of the proceeds from these sales were transferred from Price's brokerage account to a bank account held jointly with Rivera. Some of these funds were used to fund USSE's operations.
This charge depends on how much of the proceeds went back into the company, in my opinion, Mr. Rivera used all the proceeds to fund USSE, and probably used his own personal money to fund USSE.

I think given the right conditions insiders are allowed to sell 1% of the float. If she put the money back into the company I have no problem with it. The charges are against JR and Alice, not USSE, and definitely not SSTP, trading will not be stopped. Many companies have insiders that sell shares, it happens everyday, and it is legal. I feel bad you sold your shares, I am still holding!

Selling MILLIONS of shares timed on press releases is about as lowly as it gets.

So, if that is your view/assessment of the current situation at its absolute worse, then what may be a way out for USSE/SSTP?

You have a right to your own opinion, but I have to disagree. There are plenty a "grey areas" in these charges, and SEC is known to settle with agreements, most likely fines and some stipulations against Rivera. In the worst case, he might have to step down as CEO, but the companies will survive.

What the SEC has charged is CLEARLY illegal selling. As I said earlier, to think the SEC made these charges without investigating the FACTS (which are available to them) of the trading transactions, is sheer folly.

There may be some grey area in a few of the charges, but the charge of ILLEGAL TRADING is in itself a death blow to USSE.

Since SSTP is built on many of the same claims that are charged as fraudulent, any one of those chages, if proven by the preponderance of the evidence, will crush SSTP and probably any spin-off entity.
